Subscription and Billing Terms

1. Scope of These Terms

These Subscription and Billing Terms govern paid subscriptions purchased directly through wakupi.com by customers located in the United States.

They supplement Wakupi’s Terms of Use, Privacy Policy, and Cookie Policy.

By purchasing a subscription, you agree to these Subscription and Billing Terms.

2. Service Provider

Wakupi is operated under the trade name Sillustra.

3. The Wakupi Service

Wakupi is a digital service designed for families.

It allows an adult to discover, create, personalize, and organize adventures and activities for children, keep a history of certain adventures, and generate digital souvenir Chronicles in PDF format.

The features included in each subscription plan are displayed before purchase.

4. Free Access

Wakupi allows users to create or complete up to three free adventures or stories before purchasing a subscription.

The free access is not a free trial and does not automatically convert into a paid subscription.

Wakupi will not charge the user unless the user voluntarily selects a paid plan, provides a payment method, and confirms the purchase.

Wakupi may change the features included in the free offer, but such changes will not result in an automatic charge.

5. Subscription Plans

Wakupi may offer:

  • a monthly subscription billed once each month; and
  • an annual subscription billed once for a twelve-month period.

Both plans automatically renew until canceled.

Before purchase, Wakupi will clearly display:

  • the price of the subscription;
  • the applicable billing period;
  • the features included;
  • the fact that the subscription renews automatically;
  • the amount and frequency of recurring charges;
  • how and when the subscription may be canceled.

6. Enrollment and Consent

To purchase a subscription, you must:

  1. have a Wakupi account;
  2. select a monthly or annual plan;
  3. review the price, billing frequency, included features, and automatic renewal terms;
  4. agree to these Subscription and Billing Terms;
  5. affirmatively confirm your consent to recurring charges;
  6. provide a valid payment method;
  7. submit the purchase.

Your subscription begins when the initial payment is successfully processed.

Wakupi will provide an electronic confirmation containing the material terms of the subscription, including the price, billing frequency, renewal terms, and cancellation instructions.

7. Prices and Taxes

The price that applies to your subscription is the price displayed immediately before you confirm the purchase.

Any applicable taxes and the total amount due will be displayed before payment.

Prices may vary by country, currency, promotion, or subscription plan.

Wakupi may change subscription prices. A price change will not apply retroactively to a billing period that has already been paid.

When required by applicable law, Wakupi will provide advance notice of a price change before it applies to a future renewal. You may cancel before the new price takes effect.

8. Payment Processing

Payments are securely processed by Stripe.

Wakupi does not receive or store your complete credit or debit card number.

By purchasing an automatically renewing subscription, you authorize Wakupi and its payment provider to charge your selected payment method at the beginning of each billing period until you cancel.

You are responsible for maintaining a valid and current payment method.

9. Automatic Renewal

Unless you cancel, your subscription will renew automatically as follows:

  • monthly subscriptions renew each month on or near the original purchase date;
  • annual subscriptions renew each year on or near the original purchase date.

Your payment method will be charged the price disclosed for the renewal, together with any applicable taxes.

For annual subscriptions, Wakupi will provide a renewal reminder when required by applicable law. Where California law applies, the reminder will generally be sent between 15 and 45 days before the annual renewal charge.

The renewal reminder may include:

  • the date of the upcoming renewal;
  • the amount or current price of the subscription;
  • the length of the renewal period;
  • instructions explaining how to cancel.

10. Canceling a Subscription

You may cancel your subscription at any time through your Wakupi account by selecting “Cancel Subscription.”

If you subscribed online, you will be able to cancel online without being required to call, mail a letter, or speak with a representative.

Cancellation must be completed before the next billing date to prevent the next renewal charge.

After cancellation:

  • your subscription will not renew again;
  • you will normally keep access to paid features until the end of the billing period already paid;
  • no additional recurring charge will be made unless you purchase a new subscription.

Deleting the application, closing your browser, deleting local files, or simply stopping use of Wakupi does not cancel your subscription.

After a cancellation request is completed, Wakupi will provide confirmation electronically.

11. Failed Payments

If a payment is declined or cannot be processed, Wakupi or Stripe may attempt to process it again.

Access to paid features may be limited or suspended until the outstanding payment is successfully processed.

Wakupi does not charge a separate failed-payment fee. Your bank or payment provider may apply its own fees.

If payment cannot be completed, Wakupi may cancel or suspend the subscription.

12. Refund Policy

Except where required by applicable law or expressly stated otherwise, subscription payments are non-refundable.

Wakupi does not normally provide full or partial refunds because:

  • the subscriber did not use the service;
  • the subscriber forgot to cancel before renewal;
  • the application or browser was closed or deleted;
  • the subscriber changed their mind after the billing period began;
  • only part of a monthly or annual subscription period was used.

Canceling prevents future renewal charges but does not normally refund the current billing period.

A refund may be issued when:

  • the same payment was charged more than once by mistake;
  • a charge was made after a cancellation properly completed before the renewal deadline;
  • Wakupi cannot provide the paid service for a significant period;
  • the service materially fails to match the purchased offer and the problem cannot be corrected;
  • applicable federal or state law requires a refund;
  • Wakupi approves an exception after reviewing the circumstances.

Refund requests must be sent to hello@wakupi.com and include the email address associated with the account and enough information to identify the payment.

Nothing in this section limits any non-waivable rights provided by applicable law.

13. No General 14-Day Cancellation Period

United States law does not provide a universal 14-day cooling-off period for ordinary online subscription purchases.

The European 14-day withdrawal rules therefore do not apply solely because a customer is located in the United States.

However, customers remain entitled to any cancellation, refund, or other rights that cannot be waived under the law of their state.

14. Digital Content and Downloads

A subscription may allow users to generate and download personalized digital content, including souvenir Chronicles in PDF format.

Downloaded PDFs are delivered electronically and may be used immediately.

Users are responsible for saving downloaded files on their own devices or storage services.

Unless required by applicable law, downloading or using a generated PDF does not create a separate right to a refund.

Photos selected for use in a PDF remain locally stored on the user’s device and are not stored on Wakupi’s servers as of the date of these Terms.

If a local photo is deleted, moved, or becomes unavailable, it may no longer be available when a new PDF is generated.

15. Changes to Subscription Features

Wakupi may make reasonable changes to its features to improve the service, add new content, address technical issues, protect users, or comply with legal requirements.

Minor updates, improvements, and security changes may be made without advance notice.

If Wakupi makes a material change that significantly reduces the core features of a paid subscription, affected subscribers will receive reasonable notice and any remedy required by applicable law.

16. Price Changes

Wakupi may change the price of future subscription periods.

A price change will not affect a period that has already been paid.

Before charging a new subscription price, Wakupi will provide advance notice when required by applicable law.

Where California law applies, notice of certain fee changes will generally be provided between 7 and 30 days before the change takes effect.

The notice will explain the new price and how to cancel the subscription before the new price is charged.

Continued use of the subscription after the price change takes effect constitutes acceptance of the new price where permitted by law.

17. Promotions

Wakupi may occasionally offer promotional prices or discounts.

Any eligibility requirements, duration, renewal price, and other important conditions will be disclosed before enrollment.

Unless otherwise stated, a promotional price applies only for the specified promotional period. After that period, the subscription renews at the regular price disclosed at enrollment or in a later price-change notice.

Promotional offers may be limited to one per person, household, account, or payment method.

18. Account Suspension or Termination

Wakupi may suspend or terminate access to paid features when:

  • a payment fails;
  • fraud or attempted fraud is suspected;
  • the account violates the Terms of Use;
  • continued access creates a security risk;
  • suspension is required by law.

When reasonably possible, Wakupi will notify the subscriber and explain how the issue may be resolved.

If Wakupi permanently terminates a paid subscription without fault by the subscriber, Wakupi may provide a prorated refund for the unused portion of the subscription, unless another remedy is required by law.

19. Service Availability

Wakupi uses reasonable efforts to keep paid features available.

Temporary interruptions may occur because of maintenance, updates, security issues, internet failures, third-party service failures, or circumstances beyond Wakupi’s reasonable control.

A brief or temporary interruption does not automatically entitle the subscriber to a refund.

If a significant and prolonged interruption prevents access to the essential paid features, the subscriber may contact hello@wakupi.com so that Wakupi can investigate and provide an appropriate remedy.

20. Subscriptions Purchased Through Third Parties

These Terms apply to subscriptions purchased directly through wakupi.com.

If Wakupi later offers subscriptions through an application store or another third-party marketplace, billing, cancellation, and refund requests may also be governed by that provider’s terms and procedures.

The applicable conditions will be displayed before purchase.

21. Privacy

Personal information used to manage accounts, subscriptions, payments, and customer support is handled as described in Wakupi’s Privacy Policy.

Payments are processed by Stripe. Wakupi does not receive the full payment card number.

22. Limitation of Liability

To the fullest extent permitted by applicable law, Wakupi will not be liable for indirect, incidental, special, or consequential damages arising from a subscription or the inability to access the service.

Nothing in these Terms limits liability or consumer rights that cannot legally be excluded or limited.

Some states do not allow certain exclusions or limitations. In those states, the relevant exclusions apply only to the extent permitted by law.

23. Changes to These Terms

Wakupi may update these Subscription and Billing Terms to reflect changes to the service, subscription plans, or applicable laws.

The Terms accepted when a subscription is purchased will continue to apply to the billing period already paid.

Material changes affecting recurring charges, renewal, cancellation, or core paid features will be communicated before they apply to a future billing period when required by law.

24. Governing Law and Disputes

These Terms are governed by the laws of France, without depriving United States customers of any mandatory protections available under applicable federal or state law.

Before filing a formal claim, customers are encouraged to contact Wakupi at hello@wakupi.com so that both parties can attempt to resolve the issue informally.

Nothing in these Terms requires a customer to waive any right or remedy that cannot legally be waived.
